Filing Authorization Agreement

You agree to this when you authorize a filing. It is the same mechanism established filing services use: a narrow, filing-specific authorization — not a general power of attorney over your business.
1. Appointment (limited authority)
You appoint FilingPilot as your limited agent for the sole purpose of preparing and submitting the specific state compliance filing(s) you order (for example, your LLC annual or biennial report), and paying the associated state fee on your behalf. This authority is limited to those filings. It does not authorize us to open bank accounts, sign contracts, represent you before any tax authority, make legal decisions, or take any action beyond the ordered filing.
2. Your representation of authority
You represent and warrant that you are a member, manager, officer, or other person duly authorized by the business to submit the filing, and that you have authority to grant this appointment. State compliance filings are signed by an authorized person, often under penalty of perjury; you authorize FilingPilot to submit the filing as an authorized person based on your representations and the information you approve.
3. Per-filing review and consent
Before we submit, we present the exact information to be filed. Nothing is submitted until you review and approve it. Your electronic approval (a click or e-signature, recorded with a timestamp) is valid and enforceable under the federal E-SIGN Act and state UETA, and serves as your authorization for that filing.
4. Accuracy is your responsibility
We prepare filings from the information you provide. You are responsible for its accuracy and completeness. We are a scrivener/preparer: we transcribe your information onto the correct state form and submit it. We do not verify the truth of your underlying facts and do not provide legal or tax advice about them.
5. What we deliver
After filing we send you confirmation of submission and, once the state processes it, the state’s acknowledgment or stamped record for your files, plus a receipt itemizing our service fee and the state fee.
6. Revocation
You may revoke this authorization at any time before a filing is submitted by contacting support@palavive.com. Revocation does not affect a filing already submitted to the state.
